Maximizing Value In Financial Transactions Involving Strategic Patent Portfolios – Presented by Tyson Winarski & Carlo Segantini of Intellectual Ventures

man-woman-handshakeJoin SFIPLA for a discussion of M&A transactions involving patent portfolios and how to maximize value per dollar spent for all stakeholders involved.  In an M&A transaction, patents can serve as a source of non-dilutive unleveraged financing for buyers willing to collaborate with parties interested solely in the acquiree’s patent portfolios. For sellers, finding multiple buyers with complementary interests in the patent portfolio and the operating business can maximize the transaction value and earn shareholders a higher return. This talk includes a discussion of the MIPs, Novell and Transmetta M&A deals.

Presenters

Tyson WinarskiTyson Winarski is a Senior Licensing Attorney for Intellectual Ventures (IV) in Mountain View, California and is Adjunct Faculty at the University of San Francisco School of Law where he teaches Patent Licensing and Monetization. Tyson develops and executes patent monetization programs for IV through assertion based licensing strategies. Tyson has previously practiced at Pillsbury Winthrop Shaw Pittman LLP and Steptoe and Johnson LLP in Washington, D.C. A graduate of the Sandra Day O’Connor College of Law at Arizona State University, Tyson is a registered patent attorney holding a BSME and MSEE and is also an inventor of 13 issued patents.  

Carlo SegantiniCarlo Segantini is Licensing Executive at Intellectual Ventures (IV). Over more than 7 years at IV, Carlo has held the roles of VP of Strategic Acquisitions, Senior Director Channel Sale & Licensing, and Senior Director Corporate Development. He was instrumental in a number of strategic acquisitions, divestitures and licensing deals. Carlo has previously worked for almost 2 years at IPVALUE, in Palo Alto. Prior to that Carlo has worked 7 years in Italy first as partner and co-founder of ISYI s.r.l. , an IT consulting firm acquired in 2000 by ISS (IBM) and later in Milan, Frankfurt and Rome for BAIN & COMPANY, a global business consulting firm. Carlo has an MS in Electronic Engineering from the University of Padova (Italy) and a Master in Business Administration from the Tuck School of Business at Dartmouth College (NH, US).
